These Terms of Service ("Terms") govern your use of the SIXFOURFOUR website at sixfourfour.com and any services, proposals, or project engagements you enter into with SIXFOURFOUR ("we," "us," "our"). By accessing this website or engaging our services, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use this website or engage our services. For project-specific agreements, a separate Statement of Work (SOW) or project contract may supplement or supersede these Terms where applicable.
Note: These Terms constitute a general framework. All active project engagements are governed by a formal project contract or Statement of Work signed by both parties. In the event of any conflict, the signed contract prevails.

Acceptance of Terms
By using our website, submitting a project inquiry through our intake form, or entering into a project engagement with SIXFOURFOUR, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy.
We reserve the right to update these Terms at any time. Changes take effect upon posting to this page. Continued use of our services after changes constitutes acceptance.

Services
SIXFOURFOUR provides no-code digital design and strategy services, including but not limited to:
- Brand Identity — logo systems, visual identity design, brand guidelines
- Web Design & Development — website strategy, UX/UI design, no-code development (Framer, Webflow, etc.)
- Content Strategy — messaging frameworks, copywriting, editorial planning
- Social Media & Campaign — visual content systems, social media strategy, campaign assets
- Print & Collateral — packaging, signage, stationery, print-ready materials
- Creative Retainers — ongoing design and strategy support on a monthly basis
Specific deliverables, timelines, and fees for each engagement are defined in a separate project contract or Statement of Work.

Project Engagements
Discovery & Proposals
All project engagements begin with a discovery call and a written proposal. A proposal constitutes an offer, not a contract. A project begins only upon receipt of a signed agreement and the required deposit payment.
Proposals & Pricing
Proposals are valid for 14 days from the date of issue unless otherwise stated. SIXFOURFOUR reserves the right to update pricing for new projects. Any accepted proposal becomes binding only when countersigned by both parties.
Timeline
Project timelines are estimates based on the agreed scope and are contingent on timely feedback and materials from the client. Delays caused by late approvals, missing content, or scope changes may affect delivery dates. We will communicate timeline impacts in writing.
SIXFOURFOUR takes on a limited number of projects at a time to ensure focused attention and quality. Accepting a project means we are committing dedicated studio capacity to your engagement.

Payments & Fees
Deposit
Most project engagements require a deposit of 50% of the total project fee before work begins. The deposit is non-refundable once the project has entered the design phase.
Invoicing
The remaining balance is invoiced upon project completion, or per the milestone schedule outlined in the project contract. Invoices are due within 14 days of issuance unless otherwise agreed in writing.
Late Payments
Overdue invoices may accrue a late fee of 1.5% per month on the outstanding balance. SIXFOURFOUR reserves the right to pause work on any engagement with overdue invoices until payment is received.
Retainers
Monthly retainer agreements are billed in advance at the start of each month. Unused hours or deliverables in a retainer period do not carry over unless explicitly stated in the retainer agreement.
Taxes
All fees are exclusive of applicable taxes. Clients are responsible for any taxes imposed on services rendered in their jurisdiction.

Intellectual Property
Ownership Upon Full Payment
Upon receipt of full payment, SIXFOURFOUR transfers ownership of the final, approved deliverables to the client. This includes final logo files, production-ready website code, and any other specifically agreed-upon deliverables as described in the project contract.
Working Files & Source Files
Working files (Figma source files, design system components, internal iterations) remain the property of SIXFOURFOUR unless explicitly included in the project scope. Transfer of working files, if agreed upon, may be subject to an additional fee.
SIXFOURFOUR's Portfolio Rights
SIXFOURFOUR retains the right to display completed project work in our portfolio, website, social media, and marketing materials. If you require confidentiality, please inform us in writing before the project begins and we will accommodate this in the contract.
Third-Party Assets
Any third-party assets used in a project (stock photography, typefaces, icon libraries, etc.) are subject to their respective licenses. Clients are responsible for maintaining appropriate licenses for assets used in final deliverables after handoff.
Key rule: Final deliverables transfer to you upon full payment. Working files and in-progress work remain with SIXFOURFOUR until fully paid and formally handed off.

Client Responsibilities
To ensure the project runs smoothly, clients agree to:
- Provide timely feedback and approvals within the timeframe specified in the project contract (typically 3–5 business days per review round)
- Supply all required content, brand assets, logins, and materials by the agreed dates
- Ensure that all content and materials provided do not infringe on any third-party intellectual property rights
- Designate a single point of contact for the project to streamline communication and approvals
- Consolidate feedback from all internal stakeholders into a single, clear response rather than issuing conflicting revision requests
SIXFOURFOUR is not liable for project delays or quality issues resulting from clients failing to meet these responsibilities.

Revisions & Scope Changes
Included Revisions
Each project contract specifies the number of included revision rounds per deliverable. Revisions within scope and within the agreed round are included in the project fee.
Out-of-Scope Changes
Requests that fall outside the agreed scope — including new features, significant direction changes, additional pages, or revisions beyond the included rounds — will be quoted as additional work. We will always notify you in writing before billing for out-of-scope work.
Scope Creep
If the scope of a project expands materially from what was originally agreed, SIXFOURFOUR reserves the right to re-scope and re-price the engagement. We will issue a revised proposal and will not proceed with expanded scope until it is agreed upon in writing.

Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared in the course of the project engagement. This includes business strategies, unreleased products, financial information, client lists, and any materials marked as confidential.
This obligation does not apply to information that is publicly available, independently developed, or disclosed with the other party's written consent.
For engagements requiring a formal non-disclosure agreement (NDA), SIXFOURFOUR is willing to sign a mutual NDA prior to the discovery phase.

Limitation of Liability
To the maximum extent permitted by applicable law, SIXFOURFOUR's total liability for any claims arising out of or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
SIXFOURFOUR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of business, or reputational harm, even if we have been advised of the possibility of such damages.
SIXFOURFOUR is not responsible for the performance, security, or outcomes of third-party platforms used in project delivery (e.g., Framer, Webflow, Tally, or any CMS).

Disclaimers
Our website and services are provided "as is" and "as available" without warranties of any kind, express or implied. SIXFOURFOUR does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
Results from our design and strategy services may vary. We do not guarantee specific business outcomes, revenue increases, or search engine rankings as a result of our work.

Termination
By Either Party
Either party may terminate a project engagement with 14 days written notice. Upon termination, the client is responsible for paying for all work completed up to the termination date, calculated at the hourly or pro-rated project rate.
Immediate Termination
SIXFOURFOUR reserves the right to terminate an engagement immediately if the client engages in abusive or harassing behavior toward our team, requests work that violates applicable law or third-party rights, or fails to make payment after written notice of overdue invoices.
Deliverables Upon Termination
Work-in-progress files are transferred only upon settlement of all outstanding invoices. The deposit is non-refundable once work has commenced.

Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Harris County, Texas.
Both parties agree to attempt to resolve any dispute informally and in good faith before initiating formal legal proceedings.
